These Terms of Service set out the agreement between you and Htp Delivery Inc. for the use of our website and our courier, route, freight and document services. Htp Delivery Inc. operates a parcel conveyor terminal at B-2270 Halifax Dr, OTTAWA - K1G 2W6, Canada (CA) and provides same-day courier runs, scheduled route delivery, freight and pallet transport, warehouse cross-dock, last-mile fulfilment and secure document courier. By booking a service, opening a route account or using this website, you accept these terms. Please read them carefully before you send a parcel through our hall.
1. Agreement and Acceptance
These terms form a binding agreement between you and Htp Delivery Inc. You accept them when you book a pickup, sign a route agreement, use the website or allow a driver to collect a parcel on your behalf. If you are entering into this agreement for a business, you confirm that you have authority to bind that business to these terms.
If you do not accept these terms, you must not use our services or our website. Where a separate written agreement exists between your business and Htp Delivery Inc., that agreement takes priority to the extent of any conflict with these terms.
2. Definitions
In these terms, the words we, us and our refer to Htp Delivery Inc. The words you and client refer to the person or business that books a service or sends a parcel. A shipment is any parcel, pallet, mail sack, document wallet or item that we carry. A route is a scheduled collection and delivery loop that we operate for a client. The terminal is our courier hall at B-2270 Halifax Dr, OTTAWA - K1G 2W6, Canada (CA). A scan is an electronic record created when a parcel passes a gate or a handheld device.
Where a number of days is stated, it means calendar days unless we say otherwise. A business day means a day on which our terminal is open for ordinary collections.
3. Our Services
Htp Delivery Inc. provides six connected services: same-day courier runs, scheduled route delivery, freight and pallet transport, warehouse cross-dock, last-mile fulfilment and secure document courier. Each service moves through the same terminal and reports into the same dispatch system. We may add, change or withdraw a service feature at any time, but we will not reduce a committed route window without giving reasonable notice.
Service availability depends on geography, capacity and the type of item involved. We reserve the right to decline a shipment that falls outside our capabilities or that conflicts with these terms.
When you book more than one service, the six lanes still share one record. A parcel that starts as a same-day courier run can be handed to a scheduled route for the return leg, and a pallet that enters through freight and pallet transport can leave through warehouse cross-dock without a second intake. This connected design is central to the value we offer, and it depends on accurate data at the point of booking.
4. Bookings and Pickup Requests
You may book a service by telephone, email or the contact form on our website. A booking is accepted when a dispatcher confirms it and assigns it to a route. Please give complete and accurate details, including the pickup address, the delivery address, contact names, parcel counts and any special handling needs. Incomplete details can delay a collection or cause a failed delivery.
You are responsible for making sure that the parcel is ready and available at the collection point at the agreed time. If a driver cannot access the pickup point or the parcel is not ready, we may treat the attempt as a failed collection and charge accordingly.
A confirmed booking creates a job on our route board, and that job reserves driver time and belt capacity. If your plans change, tell the dispatch desk as early as you can so that we can release the slot to another client. Late cancellations may attract a charge where a driver has already been dispatched or a route has already been adjusted for your collection.
5. Service Windows and Transit Times
We publish collection and delivery windows so that you can plan around them. A same-day run is normally collected and delivered inside the same working day within the National Capital Region, provided the booking is made before the route cut off. Scheduled routes run on the days and windows recorded in the route agreement.
Transit times are estimates built from normal conditions. Traffic, weather, road closures, security checks and other events beyond our control can extend a window. We will tell you promptly if a delay is likely and we will do what we reasonably can to recover the schedule.
6. Pricing, Invoicing and Payment
Prices for our services are set out in your quote, rate card or route agreement. Unless we agree otherwise, invoices are issued after the service is delivered and are payable within the period stated on the invoice. We may ask for advance payment for new accounts, oversized freight or high-value document work.
Additional charges may apply for waiting time, redelivery, tailgate loading, after-hours work, address corrections or special handling. We will tell you about a charge before we incur it where it is practical to do so. Overdue amounts may attract interest and recovery costs as permitted by law.
7. Client Responsibilities
You are responsible for the accuracy of the information you give us, for the lawful nature of the items you ship and for complying with all applicable laws, including customs, transport, health and safety rules. You must ensure that everyone named in a booking has consented to the use of their contact details for delivery purposes.
You must not ask us to carry an item that is prohibited, and you must tell us in advance about any item that needs special handling. If a shipment causes loss, damage or delay because of inadequate packaging or an inaccurate declaration, you may be responsible for the resulting costs.
8. Prohibited and Restricted Items
We do not carry illegal goods, unlicensed firearms, hazardous materials that we are not certified to handle, live animals outside our approved service, or any item whose transport would break the law. Restricted items such as certain batteries, liquids and fragile goods may be carried only where we have agreed in advance and where the packaging meets our requirements.
We may inspect, refuse, hold or return a shipment that we reasonably believe is prohibited or unsafe. If we refuse a shipment, we will tell you why and we may charge for the collection attempt. We may also report a matter to the authorities where the law requires it.
9. Packaging and Labelling
Parcels must be packaged so that they survive ordinary handling on belts, roller beds and vehicles. Use a strong outer box, cushion fragile contents and secure the closure with proper tape. Every parcel must carry a clear label with the correct delivery address and a contact number, and any reference number you use must match the booking.
Inadequate packaging can cause damage to your item and to other freight. If a parcel is not fit to travel, we may repackage it, decline it or note the condition before it enters the belt. We are not responsible for damage that results from packaging that fails under normal transport conditions.
10. Freight and Pallet Handling
Pallet and heavy freight must be stable, wrapped and clearly marked with its weight and any lifting points. Where a delivery point has no dock ramp, we may use a tailgate lift, and you must tell us in advance if the site has access limits, soft ground or a narrow doorway. You are responsible for providing a safe approach for the vehicle.
Freight is counted and scanned at intake and again at the tailgate. If a pallet is presented in a damaged or unstable condition, we may record the condition and proceed only if it is safe to do so. Heavy freight may be subject to additional handling charges.
11. Cross-Dock and Storage Limits
Our warehouse cross-dock service moves inbound freight directly to an outbound route. Cross-docked freight is not intended to be stored, and we may move it through the terminal without shelving it. Freight that cannot leave on the planned route may be held for a short period, and a holding charge may apply.
We are not a long-term storage provider. Unless we agree otherwise in writing, we may return or dispose of freight that remains at the terminal beyond the agreed holding period, and we may recover our reasonable costs for doing so.
12. Secure Document Courier
Document wallets are logged, sealed and released only against a signature from a named recipient. You must tell us if a document requires a specific recipient or a restricted handover. Our staff will follow the instructions on the wallet and will not release it to an unauthorised person.
We do not read, copy or retain the contents of sealed documents. Our records cover the wallet identifier, the chain of custody and the release signature. If a recipient refuses delivery, we will return the wallet using the same secure process and charge according to the rate card.
13. Last-Mile Fulfilment
For last-mile fulfilment, you provide the order data and the parcels, and we sort, load and deliver to the end customer across our service area. You are responsible for the accuracy of the order data and for complying with consumer protection rules that apply to your sales. We deliver to the address you provide and record proof of delivery at the door.
If an end customer refuses a parcel or cannot be reached, we will return the item to you or hold it as agreed, and a return charge may apply. Repeated failed deliveries may lead us to review the fulfilment arrangement with you.
14. Delivery, Proof and Failed Attempts
A delivery is complete when we hand the parcel to the recipient or to a person who appears to be authorised at the delivery address, and we capture a scan, signature or photograph as proof. If no one is available, we may leave the parcel only where your instructions and the nature of the item allow it, and otherwise we will attempt again or return the item.
Failed attempts, redelivery and returns may attract additional charges. You are responsible for keeping delivery instructions up to date, especially for time critical or high-value items.
Proof of delivery is our primary record that the handover occurred. A scan at the door, a captured signature or a delivery photograph will normally settle a question about whether an item arrived. If you dispute a delivery, contact the dispatch desk with the shipment reference so that we can pull the record and review the route notes for that stop.
15. Liability and Claims
We will carry your shipment with reasonable care and skill. Subject to the limits below and to applicable law, our liability for loss or damage to a shipment is limited to the lesser of the declared value and the amount stated in our rate card for the service used, unless a higher limit is agreed in writing. We are not liable for indirect or consequential loss, including lost profit or lost opportunity.
Claims must be submitted promptly, with the shipment reference and supporting information, so that we can investigate while records and scans remain available. To the extent permitted by law, our total liability for any shipment will not exceed the limit set out above. Nothing in these terms excludes liability that cannot be excluded by law.
16. Insurance and Declared Value
If an item is valuable, you may declare a value and arrange additional cover before it travels. Declared value must be accurate, and we may ask for evidence of worth. Where a declared value is not provided, the standard limits in our rate card apply.
We recommend that clients who ship regularly arrange their own cargo insurance to match the value of their goods. Our staff can explain the options that are available for freight, pallets and sealed documents.
17. Termination and Suspension
Either party may end a route agreement by giving reasonable written notice. We may suspend or terminate a service immediately if you breach these terms, if a shipment is unlawful or unsafe, if payment is seriously overdue, or if continuing the service would put our staff or systems at risk.
On termination, you remain responsible for charges already incurred, and we will return any freight that we still hold, subject to payment of outstanding amounts and any applicable handling costs.
18. Intellectual Property
The content of our website, including text, layout, graphics and the terminal design, belongs to Htp Delivery Inc. or is used with permission. You may view and use the site for lawful purposes connected with our services, but you may not copy, republish or exploit the content without our written consent.
Our business name, service names and route tags are our marks. Nothing in these terms grants you a licence to use them except as needed to identify us in ordinary business communications.
19. Force Majeure
We are not liable for a delay or failure caused by an event beyond our reasonable control, including severe weather, flood, fire, power failure, network outage, labour disruption, civil disturbance, pandemic or government action. When such an event occurs, we will tell you promptly and take reasonable steps to resume service.
If a force majeure event continues for an extended period, either party may end the affected part of the agreement without penalty, and we will settle charges for work already completed.
20. Governing Law and Disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The parties will first try to resolve a dispute through good faith discussion between the people who manage the relationship.
If a dispute cannot be resolved by discussion, it will be submitted to the courts of the Province of Ontario, which will have jurisdiction, unless the law requires another forum. Nothing in this section prevents either party from seeking urgent relief where it is needed.
21. Changes to These Terms
We may update these terms from time to time to reflect changes in our services, in technology or in the law. When we make a change, we will revise the date at the top of this page. If a change is significant, we will take reasonable steps to bring it to your attention, such as posting a notice on the website or contacting account holders directly.
Your continued use of our services after an update means that you accept the revised terms, to the extent permitted by law. If you do not accept a change, you may end the affected service by giving reasonable notice.
